Job Description
The Associate General Counsel is responsible for providing a high level of professional legal service by representing and advising the Arizona Board of Regents (ABOR) and Arizona State University (ASU) on a broad range of education law and other legal matters and supporting training and preventive law programs on a university-wide basis. This position interacts regularly with senior level administration and with state and federal regulatory offices.
This position reports to the ASU Senior Vice President and General Counsel.
The primary focus of the position will relate to advising ASU on complex business transactional matters, including real estate transactions. The ideal candidate will possess a strong background in general business transactional matters, particularly real estate law, and have the ability to manage a variety of legal matters.
This position will primarily support ASU's business activities, including those involving matters related to real estate and public-private partnerships. The successful applicant will also: i) assist with the development of educational training programs for administrators, faculty, and staff; ii) interact regularly with senior level administration and with state, local, and federal regulatory offices; iii) manage a significant and varied workload including working on multiple unrelated matters concurrently and completing complex projects both independently and with direction; and iv) utilize excellent judgment and discretion as well as exceptional integrity and research and communication skills.
Specific assignments are based on the needs of the university and the background and workload of the attorneys in the office.

Essential Duties
- Provide legal advice relating to complex business transactions, real property law, state and federal laws, and ABOR and ASU policies.
- Negotiate, draft, and review contracts and agreements for a Tier 1 public research university with emphasis on all types of complex real estate contracts, including purchase and sale agreements, leases, easements, licenses, CCRs, private-public partnerships, development agreements, finance agreements, construction contracts and other legal documents for various ASU offices and departments.
- Handle or assist with land use and planning issues, utility matters, water, environmental and natural resource matters.
- Handle or assist in the handling of ASU transactions, litigation, and administrative proceedings relating to the attorney's primary practice area(s).
- Advise ASU boards, offices and committees on responsibilities and policies/procedures to be utilized.
- Assist in analyzing and advising on legal implication of policy decisions, contractual relations and regulatory compliance matters.
- Represent the Office of General Counsel at meetings and conferences, as required.
- Research and analyze a wide variety of laws, regulations, legislation, legislative history and policies, and study proposed or existing legislation for implications to ASU.
- Confer with outside legal counsel in areas of specialty law as necessary.
- Collaborate with outside legal counsel on transactional, litigation, and administrative matters as necessary.
- Maintain effective working relationships with ASU administrators, with outside counsel, and with appropriate regulatory, legislative and other legal resources.
- Assist in development and present a variety of preventive law programs and training for ASU.
- Assist in the identification, review, and redaction of documents responsive to requests for
- public records.

Minimum Qualifications
J.D. degree from an ABA accredited law school and six (6) years of experience as a practicing attorney, including experience in the primary practice area(s) designated by the Senior Vice President and General Counsel; OR, any equivalent combination of experience and/or education from which comparable knowledge, skills and abilities have been achieved. Must be a member in good standing with the State Bar of Arizona within twelve (12) months of hire or qualify for and registered as in-house counsel in Arizona.
Desired Qualifications
- Current and continuous experience in the active practice of law (in-house or as outside counsel devoting substantial attention to university clients) with a focus in real estate and transactional law including demonstrated knowledge of public-private partnerships, acquisitions, leasing, easements, construction, development, and related business issues (7 years).
- Experience working in a diverse and complex environment; structuring, negotiating, and drafting complex transactions and agreements relevant to a complex public research university as a licensed attorney with active practice.
- Knowledge of a wide range of legal issues associated with a complex and entrepreneurial public university, and of applicable laws and regulations.
- Evidence of effective verbal and written communication skills
Working Environment
- Work is performed primarily in a standard office environment subject to prolonged periods of sitting and operation of computer equipment requiring keyboarding.
- Travel to other offices at the Tempe campus and other ASU campuses is required.
- Some out-of-state and overnight travel is required.
