Redwood City, CA, USA
Posted on Wednesday, May 8, 2024

The Chan Zuckerberg Initiative was founded by Priscilla Chan and Mark Zuckerberg in 2015 to help solve some of society’s toughest challenges — from eradicating disease and improving education to addressing the needs of our local communities. Our mission is to build a more inclusive, just, and healthy future for everyone.

The Team

Across our work in Science, Education, and within our communities, we pair technology with grantmaking, impact investing, and collaboration to help accelerate the pace of progress toward our mission. Our Central team provides the support needed to push this work forward.

The Central team at CZI consists of our Finance, People & DEI, Real Estate, Events, Workplace, Facilities, Security, Brand & Communications, Business Systems, Central Operations, Strategic Initiatives, and Ventures teams. These teams provide strategic support and operational excellence across the board at CZI.

The Product, Privacy and Intellectual Property (PPIP) Team, a critical part of CZI’s Legal and Grants Management team, is composed of attorneys and legal compliance professionals who provide day-to-day counsel to teams across CZI on intellectual property (IP), technology, and data privacy matters. We also partner closely with scientists and researchers across the CZ Science ecosystem, including the Chan Zuckerberg Biohub Network, to support their work to build the future of science by advancing biomedical research and leveraging advances in artificial intelligence (AI). This AI work includes, for example, building one of the most powerful high-performance AI computing systems for nonprofit life science research in the world.

The Opportunity

As the Senior Counsel of Intellectual Property and Technology, you will be a senior member of the PPIP Team and play a key role in developing and executing the IP and technology strategies for CZI and the Biohub Network, including strategies around technology transactions, AI and licensing. You will manage and lead negotiations to help us establish key collaborations and partnerships with universities, research institutions, and commercial companies. You will also help mentor and develop more junior members on the team.

What You'll Do

  • Lead the negotiation, drafting, and execution of complex technology transactions, licensing and collaboration agreements. Draft and update template agreements and provisions relating to IP and technology matters. Partner effectively with internal stakeholders from our science, engineering, product and business development teams, as well as other functions, to drive these arrangements in service of our mission.
  • Collaborate with leadership across the CZ Science ecosystem to formulate robust IP, tech transfer, and licensing strategies that align with and support broader organizational goals. Develop, maintain and execute IP-related policies. Serve as a trust advisor on IP and licensing matters, effectively translating complex legal concepts into clear business recommendations.
  • Develop strategies, policies and templates relating to the implementation of AI, and the utilization of our AI cluster, across the CZ Science ecosystem.
  • Provide legal advice relating to IP and technology to our CZ Science leaders.
  • Provide legal support to our numerous affiliated institutions, including CZ Biohub San Francisco, CZ Biohub Chicago, CZ Biohub New York, and the CZ Imaging Institute.
  • Manage trademark portfolio and filing strategy in alignment with organizational priorities.
  • Support CZI’s open source and data privacy compliance programs, in collaboration with product counsels and technical teams.
  • Provide coaching and guidance to junior attorneys in areas of IP and technology transactions.
  • Support special projects on the PPIP team or the broader Legal and Grants Management team.

What You'll Bring

  • JD required and an active membership in at least one U.S. state bar, preferably California.
  • Minimum of 10 years of relevant in-house and law firm experience with a focus on intellectual property, licensing, and technology transactions, preferably in the biomedical, life sciences or imaging space. Experience with legal issues relating to AI a plus.
  • Experience working in STEM and/or Artificial Intelligence, collaborating closely with subject matter experts; degree in STEM, such as biology, chemistry, biochemistry, physics, computer science, or engineering preferred.
  • Data privacy experience (GDPR, CCPA, HIPAA and other regulations relating to biomedical research and healthcare) a plus.
  • Experience negotiating with universities or other research institutes.
  • Ability to engage in technology-related discussions with scientists and engineers.
  • Understanding of AI tools.
  • Excellent drafting skills, strong verbal and written communication, analytical and social skills, and good judgment.
  • Demonstrated track record of collaboration and building strong relationships and partnerships.
  • Willingness to travel for meetings at our science institutions across the country.
  • A learning and growth mindset coupled with humility and mission-oriented sensibilities.
