Job Description

Job Duties: Associate with Goldman Sachs & Co. LLC in New York, New York. Work with publicly traded and private companies across sectors and with financial sponsors to originate, structure and execute equity financings such as initial public offerings, follow-on offerings, block trades, convertibles, private investment in public equity (“PIPEs”) and private placements in the Americas. Support live deal execution including running due diligence processes, investor education, negotiating underwriting agreements and other legal documents, organizing, and attending deal and non-deal roadshows, coordinating internal GS processes, and interacting daily with corporate clients, investors and other investment banks for the execution of equity capital markets transactions. Model and market alternative private placement products including convertible preferred, convertible debt and preferred equity. Prepare internal rate of return (“IRR”) analysis, cost of capital analysis and illustrative terms analysis to advise issuing clients on different financing alternatives. Assist with investor targeting and investor outreach as part of PIPEs and private placements deal execution. Negotiate transaction terms for private placements transactions. Calculate theoretical value of different equity and structured equity products. Lead investor calls to present opportunities and collect investor feedback.

Job Requirements: Bachelor’s degree (U.S. or foreign equivalent) in Business Administration, Finance, Economics, Accounting, or related field. Two (2) years of experience in the job offered or in a related role. Prior experience must include two (2) years with: producing client reports on analyses of market data, economic variables and different stock market topics including stock prices, trading volumes, stock indices, stock trading performance, investor feedback, interest rates, inflation, GDP growth, earnings statements analysis and overall market color; covering clients in an investment banking or financial advisor role including preparing presentation materials, pitching ideas, and providing regular financial and market updates; coordinating and managing communication flow across multiple internal and external parties, including coverage bankers, sales and trading personnel, internal legal, external counsel, and other investment banks; synthesizing investor feedback to form views on pricing for equity capital markets transactions; assisting with the negotiation of key transaction terms including coupon and dividend, minimum return, governance rights, covenants, and conversion price; utilizing Black-Scholes models for option pricing; and using electronic data sources, including Bloomberg, FactSet and Capital IQ, for business and industry research. Licenses Required: FINRA SIE, Series 79, and Series 63 exams within three (3) months of hire. Travel required approximately 10% of the time (both international and domestic). Travel costs reimbursed by the Firm.

Salary Range: The expected annual base salary for this New York, New York, United States-based position is $175,000 - $225,000. In addition, you may be eligible for a discretionary bonus if you are an active employee as of fiscal year-end.
