Corporate Professional (Paralegal)

Support global Corporate Legal Team, handle governance matters, filings, documents, and projects for McKinsey's legal and business operations.

Who You'll Work With

The Legal Department provides comprehensive legal and risk management services across the firm in a dynamic and fast-paced environment. Work with McKinsey often spans the globe, requiring superb communication skills and problem-solving skills and the ability to navigate different legal regimes and cultures.
You are an energetic and solution-oriented legal professional with experience in corporate and governance matters that will join the Legal Department’s Corporate Team, working independently on most matters but also in teams on special initiatives and projects.

What You'll Do

You will work with attorneys and corporate professionals to support the Corporate Legal Team and Corporate Secretary function for McKinsey and its subsidiaries worldwide. You will be responsible for a broad range of matters, including managing the Corporate Secretary function for all McKinsey entities (e.g., advising on and preparing formation documents, corporate filings, minutes and resolutions, powers of attorney, intercompany agreements, KYC requests, tax requests and other corporate documentation in support of the Firm’s global operations, etc.).
You will draft and edit all relevant corporate documents from entity formation documents and resolutions to intercompany agreements, dividends, capital contributions intra-group asset/share transfers and corporate restructuring/reorganization documents worldwide.
You will work closely with the McKinsey’s Tax, Finance, Treasury, Employment, Benefits and other Firm functions on projects with a corporate component, which includes working on entities in the U.S. and outside the U.S. You will advise and respond promptly to Firm functions and Firm offices globally on corporate matters and requests that arise. You work with U.S. and foreign outside counsel to coordinate filings and other corporate requirements under local law, and with McKinsey attorneys and other colleagues on corporate and other projects as needed. And you will develop, implement, and update legal forms, templates, tools and best practices for internal use.

Qualifications

  • Bachelor's degree required
  • Minimum three years’ experience with an international law firm or in-house (with experience in New York and Delaware corporate matters) preferred
  • Exceptional problem-solving, critical thinking and analytical skills to navigate challenging situations and propose out-of-the box solutions
  • Excellent interpersonal and communication skills (verbal and written)
  • Excellent legal drafting ability and keen eye for detail and accuracy
  • Motivated self-starter who works independently, takes initiative, drives to completion and consistently delivers high quality results across multiple assignments
  • Professionalism, integrity, good judgment, and respect for confidentiality
  • Ability to organize, prioritize and meet deadlines with a positive attitude and calm presence under pressure
  • Enjoys working highly autonomously in a challenging, fast-paced, dynamic professional services firm
  • Responsiveness to multiple and ad hoc requests with strong sense of urgency
  • Confident team player who is highly collaborative and flexible, able to work with varying and changing needs and able to deal with ambiguity
  • Ability to interact effectively with all tenure levels and across functions
  • Ability to learn quickly

A reasonable estimate of the range for new joiners for this role in the United States is $94,000 - $129,300. Actual salaries may vary and may be above or below the range based on various factors, including, but not limited to an individual's assigned office location, experience and expertise. Certain roles are also eligible for bonuses, subject to McKinsey’s discretion and based on factors such as individual and/or organizational performance.
